Informe jurídico sobre Laudo Arbitral Ad Hoc entre Asociación S&Z Consultores S.A. – Harza Engineering Company International contra el Servicio de Agua Potable y Alcantarillado de Lima – SEDAPAL: ¿Cómo afectan las decisiones gubernamentales y la ausencia de cláusulas eximentes en contratos estatales con financiamiento internacional?

Resumen
Uno de los medios para lograr el desarrollo de la infraestructura básica del país,
se concreta a través de préstamos obtenidos de agencias de cooperación
internacional. En ese contexto, el Gobierno Peruano suscribe contratos
internacionales para lograr satisfacer necesidades básicas tales como salud,
educación, agua, sanidad, electrificación, entre otros.
Así, al ser proyectos de gran envergadura, estos requieren un especial cuidado
en su diseño ya que de ello depende la culminación y cumplimiento de metas,
además de involucrar no solo a quienes ejecutan el proyecto, sino también al
beneficiario de préstamo y la agencia internacional que lo habilita.
En ese contexto, el presente informe analiza el Laudo Arbitral emitido en el
proceso seguido por la Asociación S&Z Consultores S.A. – Harza Engineering
Company International contra el Servicio de Agua Potable y Alcantarillado de
Lima – SEDAPAL, en el marco de un Contrato de Consultoría financiado con
recursos del préstamo internacional PE-P21 suscrito entre el The Overseas
Economic Cooperation Fund hoy JBIC (Japan Bank for International
Cooperation) y el Estado Peruano.
Analizaremos si las decisiones gubernamentales externas pueden ser calificadas
como eventos de fuerza mayor y la necesidad de causalizar eventos ajenos a las
partes signatarias, distribución del riesgo, motivación de las resoluciones
arbitrales y los límites del ejercicio de la función jurisdiccional arbitral, todo ello a
partir del análisis y resolución dispuesta por el Tribunal Arbitral en el caso en
concreto.
One of the means to achieve the development of the country's basic infrastructure is through loans obtained from international cooperation agencies. In this context, the Peruvian government signs international contracts to meet basic needs such as health, education, water, sanitation, electricity, among others. As these are large-scale projects, they require special care in their design, as the achievement of goals depend on them. They also involve not only those executing the project, but also the loan recipient and the international agency that grants it. In this context, this report analyzes the Arbitration Award issued in the case brought by S&Z Consultores S.A. Asociación – Harza Engineering Company International against Servicio de Agua Potable y Alcantarillado de Lima (SEDAPAL), within the framework of a Consulting Contract financed with resources from the PE-P21 international loan signed between The Overseas Economic Cooperation Fund, now JBIC (Japan Bank for International Cooperation), and the Peruvian State. We will analyze whether external government decisions can be classified as force majeure events and the need to establish events beyond the control of the signatory parties, risk distribution, motivation for arbitral decisions, and the limits of the exercise of the jurisdictional arbitration function, all based on the analysis and resolution issued by the Tribunal in the specific case.
