Abstract
El presente informe jurídico analiza dos temas controversiales en materia de
sociedades anónimas: (i) la exclusión de accionistas; y (ii) bajo qué mecanismo
– nulidad o impugnación- debe ser cuestionado el acuerdo societario materia de
controversia, teniendo en cuenta la ambigüedad de nuestra Ley General de
Sociedades. Asimismo, se discute la posición de la Corte Suprema en la
Sentencia de Casación, la cual establece que el acuerdo es anulable.
La controversia gira en torno al procedimiento de exclusión de tres accionistas
de la Empresa Minera Otapara S.A., siendo que, para adoptar dicho acuerdo, no
se cumplieron con los requisitos de validez señalados en la Ley General de
Sociedades, tales como debida convocatoria, quorum de instalación y mayorías
correspondientes. De tal manera, se concluye que el acuerdo es inválido; no
obstante, persiste la interrogante respecto a si dicho acuerdo devino en nulo o
anulable.
En ese sentido, con la finalidad de resolver los problemas planteados y formular
fundamentos que sostengan nuestra posición, se consultará la Ley General de
Sociedades, jurisprudencia registral, así como doctrina nacional e internacional
y demás legislación comparada que nos permitirá realizar un mayor análisis a
las instituciones jurídicas materias de controversia y así, llegar a una
interpretación de acuerdo a las necesidades de nuestro caso.
This paper analyzes two controversial issues in corporate matters: (i) the exclusion of shareholders; and (ii) under which mechanism - nullity or voidability - the corporate resolution in question should be questioned, taking into account the ambiguity of our General Corporation Law. Likewise, the position of the Supreme Court in the Cassation Judgment, which establishes that the corporare resolution is voidable, is discussed. The controversy revolves around the exclusion procedure of three shareholders of Empresa Minera Otapara S.A., being that, in order to adopt such resolution, the requirements of validity indicated in the LGS were not complied with, such as due notice, quorum of installation and corresponding majorities. Therefore, it is concluded that the resolution is invalid; however, the question remains as to whether said resolution became null and void or voidable. In this sense, in order to solve the problems raised and to formulate grounds to support our position, we will consult the General Corporation Law, registry jurisprudence, as well as national and international doctrine and other comparative legislation that will allow us to carry out a greater analysis of the legal institutions that are the subject of controversy and thus, to reach an interpretation according to the needs of our case.
