Abstract
El presente informe jurídico versara sobre el análisis de la Resolución N°
196-2005-SUNARP-TR de fecha 9 dediciembre de 2005, mediante el cual una
asociación de transportistas de Chiclayo presentó recurso de apelación contra
resolución emitida por el registrador público de la Superintendencia Nacional de
los Registros Públicos–Zona Registral II, sede Chiclayo, quien en uso de sus
facultades impuso tacha sustantiva al pedido de transformación de una
asociación a una sociedad anónima cerrada.
Asimismo, el Tribunal Registral revoco la tacha formulada al título venido en
grado y dispuso su inscripción. El Tribunal sustenta su resolución en la
aplicación del artículo 333° de la Ley General de Sociedades que permite que
cualquier persona jurídica extra societaria pueda transformarse en cualquier
ente corporativo regulada por esta Ley y en la aplicación por analogía del
artículo 98° del Código Civil para del destino del patrimonio en caso se quiera
transformar una asociación en una sociedad.
Entonces, ¿es posible que una asociación pueda transformarse en una
sociedad? El debate se genera pues el Código Civil guarda silencio respecto a
la posibilidad que las personas jurídicas que regula puedan transformarse en
personas jurídicas reguladas por la Ley General de Sociedades. Para resolver
esta controversia se analizará los tipos corporativos asociación y sociedad, así
como también se abordará la figura de la transformación como un tipo de
reorganización societaria.
This legal report will deal with the analysis of Resolution No. 196-2005-SUNARP-TR dated December 9, 2005, by means of which an association of transporters of Chiclayo filed an appeal against the resolution issued by the public registrar of the National Superintendence of Public Registries - Registry Zone II, Chiclayo, who in use of his powers imposed a substantive objection to the request for the transformation of an association into a closed corporation. Likewise, the Registry Court revoked the objection formulated to the title at this level and ordered its registration. The Court based its decision on the application of article 333° of the General Corporations Law, which allows any non-corporate legal entity to transform itself into any corporate entity regulated by this Law, and on the application by analogy of article 98° of the Civil Code for the destination of the assets in the case of the transformation of an association into a corporation; So, ¿is it possible that an association can be transformed into a corporation? The debate arises because the Civil Code is silent with respect to the possibility that the legal entities it regulates can be transformed into legal entities regulated by the General Corporations Law. In order to resolve this controversy, the corporate types of association and partnership will be analyzed, as well as the figure of transformation as a type of corporate reorganization.
