Resumen
La Resolución 0037-2021/SDC-INDECOPI versa sobre la apelación por parte de
Amauta Impresiones Comerciales S.A.C y la Empresa Editorial El Comercio S.A,
quienes objetan el impedimento impuesto sobre ellos de mantener a su Oficial
de Cumplimiento en el cargo en cuanto dicha persona ejercía una funcionalidad
dual al ser también el Gerente Legal. Aunque los demandados no se percataron,
las distintas condiciones que ordena INDECOPI para la designación de su nuevo
Oficial de Cumplimiento son susceptibles de observancia y cuestionamiento,
partiendo de la idea central que no se ajustan ni con el Compliance como doctrina
ni con los principios administrativos a los que INDECOPI se ha de adherir.
Los criterios aplicados por INDECOPI no se limitan a este caso en particular,
extendiéndose a resoluciones a lo largo de los años tanto pasadas como
actuales. Por ende, y en búsqueda de un adecuado balance, se proponen
alternativas para futuras resoluciones, partiendo de la necesidad de contar con
una Administración que interiorice el Compliance y lo aplique dentro del marco
del Derecho.
Resolution 0037-2021/SDC-INDECOPI concerns the appeal filed by Amauta Impresiones Comerciales S.A.C. and Empresa Editorial El Comercio S.A., who object to the restriction imposed on them regarding allowing their Compliance Officer to continue as such since he held a dual role inside the company as Legal Manager. Although the defendants were unaware of it, the various conditions stipulated by INDECOPI for the appointment of the new Compliance Officer are open to both observation and questioning, based on the central idea that they are not truly aligned with Compliance as a doctrine nor with the administrative principles governing INDECOPI. The criteria applied by INDECOPI are not limited to this case since the same criteria is applied in various resolutions issued over the years. Therefore, and in search of an appropriate balance, alternatives are proposed for future resolutions, based on the need to have an Administration that internalizes Compliance and applies it within the framework of the Law.
