Abstract
La Sentencia de la Tribunal Supremo Español STS 1.014/2022 resalta por evidenciar
la importancia de una correcta cultura organizacional, gestión del riesgo y estructuras
de cumplimiento para evitar actos de corrupción dentro de una empresa. Sobre los
hechos probados y analizados por esta sentencia, es posible presentar cursos de
acción y medidas ex post de los actos de corrupción que amenazaron la continuidad
operativa del Club Atlético Osasuna en atención a la naturaleza del Compliance en el
ámbito deportivo.
Los actos de corrupción llevados a cabo entre el 2012 y 2014, son consecuencia de la
instrumentalización de las estructuras internas de administración y control del Club
Atlético Osasuna ante la evidente falta de interiorización de los programas de
cumplimiento, de la gestión e identificación del riesgo y de una buena gobernanza
corporativa. Es posible determinar aquellos espacios de mejora sobre los cuales el
Club Atlético Osasuna, y entidades de similar naturaleza, puedan adoptar medidas
que disminuyan el riesgo de actos de corrupción o malas conductas empresariales que
generen daño reputacional o afecten la continuidad operativa.
De cara al incremento de la importancia económica y social de los clubes deportivos,
podemos partir de los principios del cumplimiento normativo para realizar una
observación crítica y presentar soluciones a la realidad observable, tomando en
consideración que la sentencia STS 1.014/2022 nos ha presentado las consecuencias
sobre un club deportivo y una sociedad expuesta a malas acciones de sus altos
directivos y fraudulentos colaboradores.
The ruling from the Supreme Spanish Tribunal (STS 1.014/2022) gains its relevance form putting forward the importance of a correct organizational culture, risk management, and compliance elements inside a corporate structure. Over the facts and proven actions detailed in the ruling, is possible to develop measures and actions addressing the corruption scandal which threatened the continuity of the Club Atlético Osasuna, given attention to the nature of the compliance in the sports sector. The acts of corruption, committed through 2012 to 2014, are a consequence of the instrumentalization of internal administrative and control structures of the Club Atlético Osasuna given the obvious lack of interiorization of the compliance principles, risk and identification management and good corporate governance. Is in fact possible to state the improvement spaces and measures which the Club Atlético Osasuna (and similar corporate structures) could adopt as to diminish the misconduct risk that could either threaten operational continuity or reputational damage. Facing an increment in social and economic relevance of soccer clubs, the principles of compliance can be taken as basis for observational analysis and problem solving, taking the contents of the ruling STS 1.014/2022 as the stated consequences of a soccer club exposed to the misconduct of its management and fraudulent collaborators.
