Informe jurídico de la Resolución No. 064-2009-SUNARPTR- T

Abstract

El presente informe jurídico tiene la finalidad de realizar un análisis jurídico de la interpretación efectuada por el Tribunal Registral en la Resolución No. 064-2009- SUNARP-TR-T respecto a la posibilidad de efectuar e inscribir el ejercicio del derecho de exclusión de socios de una Sociedad Anónima Cerrada sin que medie una causal expresa en el estatuto y/o en el pacto social. Asimismo, se analizará la naturaleza del derecho de exclusión de socios en el marco de la normativa societaria, así como los criterios adoptados por el Tribunal Registral para resolver el caso particular de la Resolución No. 064-2009-SUNARP-TR-T y las potenciales vulneraciones a otros derechos relacionados con las acciones del socio afectado por la exclusión. Teniendo ello en consideración, el presente informe jurídico abordará, principalmente, la posibilidad de inscribir la exclusión de socios y los actos derivados de esta en el marco de una Sociedad Anónima Cerrada sin que exista una causal expresa para ello en el estatuto y/o en el pacto social. Para ello, se emplea la normativa societaria y registral pertinente, además del razonamiento jurídico societario para poder determinar la precisión de la Ley General de Sociedades respecto a la regulación del derecho de exclusión de socios y la pertinencia de los criterios adoptados por el Tribunal Registral para afirmar la posibilidad de excluir a socios accionistas de Sociedades Anónimas Cerradas sin que medie una causal expresa para ello en el estatuto y/o en el pacto social.

The purpose of this legal report is to make a legal analysis of the interpretation made by the Registry Court in the Resolution No. 064-2009-SUNARP-TR-T regarding the possibility of carrying out and registering the exercise of the right of exclusion of partners of a Closed Stock Company without an express cause in the bylaws and/or in the articles of incorporation. Likewise, the nature of the right of exclusion of partners withing the framework of the corporate regulations will be analyzed, as well as the criteria adopted by the Registry Court to resolve the case of the Resolution No. 064-2009-SUNARP-TR-T and the potential infringements to other rights related to the shares of the partner affected by the exclusion. Taking this into consideration, this legal report will address, mainly, the possibility of registering the exclusion of partners and the acts derived therefrom in the framework of a Closed Stock Company without there being an express cause for it in the bylaws and/or in the articles of incorporation. For this purpose, the relevant corporate and registry regulations are used, in addition to the corporate legal reasoning in order to determine the precision of the peruvian General Corporations Law with respect to the regulation of the right of exclusion of partners and the relevance of the criteria adopted by the Registry Court to affirm the possibility of excluding shareholder partners of Closed Stock Company without an express cause for it in the bylaws.
