Informe jurídico sobre la Resolución No. 2937-2024-SUNARP-TR (NSIR-T)

Abstract

El presente informe jurídico analiza la Resolución N.º 2937-2024-SUNARP-TR, que aborda la observación formulada en el marco de una transferencia vehicular afectado con una garantía mobiliaria, cuyo pacto de no disposición no constaba inscrito en el asiento registral de la partida del bien. El problema central es determinar sí el registrador puede fundamentar la decisión de su calificación es restricciones no inscritas contenida únicamente en un título archivado. Con tal fin de analiza el carácter normativo del artículo 11 inciso 1 de la Ley 28677, el principio de la publicidad registral, a oponibilidad de los actos contenidos en el título archivados y el requisito para la oponibilidad del pacto no de disposición de la Ley de Garantía Mobiliaria. El análisis concluye que el artículo 11 de la Ley 28677 constituye una norma dispositiva que permite pactar restricciones al derecho de disposición, pero su oponibilidad frente a terceros exige su inscripción necesariamente. También, se buscará determinar que los títulos archivados solo tienen valor complementario para la calificación registral. Por tanto, la decisión del Tribunal Registral fue correcta al revocar la observación formulada, dado que el pacto de no enajenar no fue inscrito y, por tanto, no era oponible frente a terceros.

This legal report analyzes Resolution No. 2937-2024-SUNARP-TR, which addresses the objection raised in the context of a vehicle transfer affected by a security interest, where the non-disposal clause was not recorded in the registry entry of the asset’s file. The central issue is whether the registrar may base the qualification decision on nonregistered restrictions that appear solely in an archived title. To that end, the report examines the normative character of Article 11, subsection 1 of Law No. 28677, the principle of registral publicity, the enforceability of provisions contained in archived titles, and the requirements for the enforceability of the non-disposal clause under the Law on Security Interests. The analysis concludes that Article 11 of Law No. 28677 is a dispositive rule that allows parties to agree on restrictions to the right of disposal, but its enforceability against third parties requires registration. It also establishes that archived titles have only complementary value for registration qualification. Therefore, the decision of the Registration Tribunal was correct in revoking the objection, since the non-disposal clause was not registered and was thus not enforceable against third parties.
