Informe jurídico sobre la Resolución N.º 1893-2024- SUNARP-TR (NSIR-T)

Abstract

En el presente informe jurídico se realiza el análisis de la Resolución N.º 1893- 2024-SUNARP-TR (NSIR-T) a efectos de determinar si un gerente adjunto está legitimado para convocar a junta general de accionistas en una S.A.C., sin directorio, cuando no existe gerente general con nombramiento vigente. Para sustentar dicho análisis, se ha empleado normas de naturaleza legal y registral en materia societaria aplicables al caso abordado en la resolución. De este modo, se concluye que, un gerente adjunto no está legitimado para ejercer la facultad de convocar a junta general de accionistas en una S.A.C., sin directorio, cuando no existe gerente general con nombramiento vigente; toda vez que los únicos órganos legalmente previstos para convocarla son el directorio o el gerente general, hay un silencio normativo respecto a la figura del gerente adjunto como sustituto del gerente general, existen mecanismos legales alternativos para convocar a junta general de accionistas en una sociedad anónima cerrada aplicables a dicho escenario, y la labor registral se ve limitada por lo dispuesto en las normas legales sin aplicar analogías ni interpretaciones propias que otorguen facultades que no estén expresamente previstas. Por lo que se sostiene que el análisis realizado por el Tribunal Registral, en la resolución mencionada, no ha sido correcto.

This legal report analyzes Resolution No. 1893-2024-SUNARP-TR (NSIR-T) in order to determine whether a deputy manager is authorized to convene a general shareholders' meeting in a corporation (S.A.C.) without a board of directors when there is no currently appointed general manager. To support this analysis, legal and registry rules in corporate matters applicable to the case addressed in the resolution have been used. Therefore, it is concluded that a deputy manager is not authorized to convene a general shareholders' meeting in a corporation (S.A.C.) without a board of directors when there is no currently appointed general manager. Since the only bodies legally authorized to convene a shareholders' meeting are the board of directors or the general manager, there is a regulatory silence regarding the figure of the deputy manager as a substitute for the general manager, there are alternative legal mechanisms for convening a general shareholders' meeting in a closely held corporation applicable to this scenario, and the registration work is limited by the provisions of the legal regulations without applying analogies or interpretations of their own that grant powers that are not expressly provided for. Therefore, it is argued that the analysis conducted by the Registry Tribunal in the resolution was incorrect.
