Resumen
El presente Informe Jurídico busca brindar mayores alcances acerca de la forma en que
debe entenderse la regulación sobre responsabilidad solidaria de los liquidadores a la
luz de nuestro ordenamiento jurídico y, la posible aplicación por remisión legal de
normativa destinada a la figura de los directores, cuando los liquidadores actúen como
parte integrante de un órgano colegiado.
Sin duda este aspecto ha sido motivo de discusión en diferentes supuestos en los que,
pese a existir más de un liquidador que toma decisiones en una empresa, no existe una
norma concreta que permita atribuir a estos responsabilidad solidaria por sus actos;
sobre todo considerando que la redacción actual de la Ley General de Sociedades
peruana únicamente contempla el supuesto de responsabilidad solidaria de los
directores por los daños que las decisiones de estos ocasionen a la sociedad, a los
accionistas o a terceros.
En ese sentido, la relevancia del presente Informe Jurídico radica en poder brindar una
respuesta efectiva y clara sobre que alternativas se pueden adoptar para aquellos
supuestos que podrían ser enmarcados dentro del artículo 177 de la Ley General de
Sociedades con la finalidad de atribuir responsabilidad solidaria a los liquidadores de
una empresa y, como es que debe entenderse la referida norma cuando por remisión
legal se pretenda extender a cargos que no sean un director.
The present study seeks to provide further information on the way in which the regulation on joint and several liability of the liquidators should be understood in the light of our legal system and, the possible application by legal referral of regulations intended for the figure of the directors, when the liquidators act as an integral part of a collegiate board. Undoubtedly, this aspect has been the subject of discussion in different cases in which, despite the existence of more than one liquidator who makes decisions in a company, there is no specific rule that allows attributing to them joint and several liability for their acts; especially considering that the current wording of the Peruvian General Corporations Law only contemplates the case of joint and several liability of the directors for the damages that their decisions cause to the company, to the shareholders or to third parties. In this sense, the relevance of this study lies in being able to provide an effective and clear answer on what alternatives can be adopted for those cases that could be framed within Article 177 of the General Companies Law with the purpose of attributing joint and several liability to the liquidators of a company and, how the referred rule should be understood when by legal reference it is intended to be extended to positions other than a director.
