Abstract
En el presente informe se analiza el pedido de inscripción en el registro de una
escisión entre la sociedad Palardo II S.R.L y la sociedad Mozdo Holding, en este
pedido también se solicita la inscripción de diversos documentos como la
modificación del estatuto y la reducción de capital. Ante esta solicitud la
registradora de Registros Públicos realiza una tacha sustantiva señalando que
no es posible la inscripción porque la escisión no había sido realizada acorde a
la Ley General de Sociedades e indica que se deben realizar algunas
aclaraciones sobre los documentos presentados en lo referente a la reducción
del capital. En el trabajo se responden dos problemas jurídicos que nacen de la
denegatoria y tacha de la registradora. Primero, la posibilidad de que una
sociedad en vías de constitución pueda participar en una operación de
reorganización como una escisión. Segundo, la posibilidad de reducir el capital
de una sociedad escindida por un monto diferente al valor del bloque escindido.
La respuestas a estas preguntas parte del análisis de la Ley antes mencionada
en los artículos 7 y 367 principalmente. A través de este Informe se concluye que
la ley permite que las sociedades en vías de constitución participen en
escisiones; ya que, no se ha impedido que puedan participar en negocios que
beneficien a la misma sociedad. Siempre que, luego se inscriban y se ratifiquen
los actos como la aprobación de la escisión por la junta. En lo relacionado a la
reducción capital se señala que es necesario el ajuste en el capital pero no existe
prohibición alguna para que el monto sea diferente del valor del bloque escindido.
En la resolución se señala que la diferencia del monto es a raíz de una
amortización que ocurrió después de la escisión.
This essay analyzes the request to register an scission between the company Palardo II S.R.L and the company Mozdo Holding S.R.L. In this request the company also seeks the registration of different documents, such as the modification of the agreement of the company and the reduction of capital. The Public Registry officer issues a substantive objection, stating that the registration is not possible because the scission was not made in accordance with the General Law of Companies, and also indicates that certain clarifications must be made regarding the documents about the reduction of capital. This essay addresses two legal issues arising from the registry officer’s refusal, the capacity of a company in the process of formation to participate in an scission, and the possibility of reducing the capital of a company that went through a partial scission by an amount different from the value of the asset block. The answers of these two questions are based on the analysis of the General Law of Companies, particularly based on articles 7 and 367. Thus, the conclusions of this essay are that the law allows companies on the process of formation to participate in a scission, as there is no prohibition against their participation in transactions that could benefit the company. Is permitted but the company has to, later on, register and ratify the acts, like the approval of the scission made by the board of members. Regarding the capital reduction, it is stated in the law that an adjustment of the capital is necessary, but there is no prohibition against the amount being different from the value of the asset block. The resolution states that the difference in the amount is due to an amortization that occurred after the scission.
