Resumen
En el Perú se han presentado casos en que los liquidadores han omitido
formalizar actos de transferencias a favor de terceros; y, cuando desean
regularizar estas transferencias, ya se encuentra extinguida la personalidad
jurídica de la sociedad. Esto ha conllevado a que, en la práctica, exista una
necesidad de inscribir actos respecto de personas jurídicas extinguidas con el
objetivo de formalizar transferencias que en su momento no se hicieron. Si bien
nuestra normativa es clara al establecer que, con la inscripción de la extinción,
la personalidad jurídica se extingue siendo este un acto constitutivo;
recientemente nuestro Tribunal Registral, a través del Pleno Registral 289° del
2024 ha establecido la procedencia de la inscripción de una transferencia
formalizada en fecha posterior a la inscripción de la extinción de la persona
jurídica. Con dicho precedente, en la práctica jurídica se podría inscribir una
transferencia en la que participe una sociedad que tiene inscrita su extinción en
su partida de forma previa; y, de esta manera, atender a una problemática que
tiene años en el mercado jurídico.
Mediante el presente informe, se busca analizar la Resolución N°490-2010-
SUNARP-TR-T, en la que nuestro Tribunal Registral catorce años atrás
respondía a la misma cuestión con un razonamiento completamente disímil al
Pleno Registral 289°. El análisis que se realizará busca identificar y analizar, a
partir del estudio jurisprudencial y doctrinario, las instituciones involucradas y las
implicancias que conllevan el cambio de perspectiva adoptado por el Tribunal en
la institucionalidad de la figura jurídica de la extinción.
In Peru there have been cases in which the liquidators have omitted to formalize acts of transfers in favor of third parties; and, when they wish to regularize these transfers, the legal personality has already been extinguished. This has led to the fact that, in practice, there is a need to register acts with respect to extinct legal entities in order to formalize transfers that were not made at the time. Although our regulations are clear in establishing that, with the registration of the extinction, the legal personality is extinguished being this a constitutive act; recently our Registry Court, through the Registry Plenary 289° has established that the registration of a transfer formalized after the registration of the extinction of the legal person is admissible. With such precedent, in legal practice, it would be possible to register a transfer involving a company whose extinction has been previously registered in its registration; and, in this way, attend to a problem that has been in the legal market for years. This report seeks to analyze Resolution N°490-2010-SUNARP-TR-T, in which our Registry Court fourteen years ago responded to the same issue with a completely different reasoning than the 289th Registry Plenary. The analysis that will be carried out seeks to identify and analyze, from the jurisprudential and doctrinal study, the institutions involved and the implications of the change of perspective adopted by the Court in the institutionalization of the legal figure of extinction.
