Abstract
El Tribunal Registral emitió un precedente en el cual indica que la convocatoria
a junta general – como facultad del directorio – en una sociedad anónima es
indelegable a la Gerencia General; sin embargo, precisa que, si el Gerente
General es a su vez director, si es viable la delegación de la referida facultad.
Sobre ello, el Tribunal ha incurrido en una serie de errores e imprecisiones al
momento de formular su pronunciamiento, lo cual será materia del Informe
Jurídico a elaborarse en el presente Informe Jurídico.
The Registral Tribunal issued a precedent stating that the authority to convene a general shareholders’ meeting—an authority vested in the board of directors—cannot be delegated to the General Management in a corporation. However, it also clarified that if the General Manager simultaneously serves as a director, delegation of said authority is indeed feasible. In connection with this, the Tribunal has committed several errors and inaccuracies in formulating its pronouncement, which will be addressed in the Legal Report to be prepared for this Legal report.
