Abstract

La Ley General del Sistema Concursal permite la aplicación supletoria de normas del Procedimiento Concursal Ordinario al Procedimiento Concursal Preventivo. Sin embargo, dicha aplicación supletoria de normas se encuentra supeditada a la compatibilidad entre la naturaleza de ambos procedimientos y a la no vulneración de los principios del Derecho Concursal. Para determinar la aplicación supletoria del artículo 69.3° de la Ley General del Sistema Concursal no se ha considerado debidamente las diferencias existentes entre los Procedimientos Concursales Preventivos y Ordinarios respecto del reconocimiento de créditos tardíos y lo expresamente establecido en el artículo 115° de este cuerpo normativo. En adición a ello, esta aplicación supletoria produce una vulneración a los principios de colectividad y proporcionalidad en tanto la preferencia en los órdenes de pago de créditos son de carácter excepcional y deben aplicarse de manera restrictiva. Por lo cual, al no cumplirse con los presupuestos contemplados por el artículo 113° de la Ley General del Sistema Concursal para llevar a cabo la aplicación supletoria de una norma, el acuerdo de la Junta de Acreedores que aprueba el Acuerdo Global de Refinanciación ha incurrido en una inobservancia de una disposición normativa, lo cual constituye una causal de nulidad prevista en el artículo 118° del este cuerpo normativo.

The General Law of the Bankruptcy System allows the superseding application of rules of the Ordinary Bankruptcy Procedure to the Preventive Bankruptcy Procedure. However, such a supplementary application of rules is subject to the compatibility between the nature of both procedures and the non-infringement of the principles of bankruptcy law. To determine the supplementary application of article 69.3° of the General Law of the Insolvency System, the differences existing between the Preventive and Ordinary Insolvency Procedures with respect to the recognition of late claims and what is expressly established in article 115° of this regulatory body have not been duly considered. In addition, this supplementary application results in a breach of the principles of collectivity and proportionality, since preference for payment orders is exceptional and must be applied restrictively. Therefore, since the conditions referred to in article 113 of the General Law on the Bankruptcy System for carrying out the supplementary application of a rule have not been met, the agreement of the Board of Creditors approving the Global Refinancing Agreement has resulted in non-compliance with a normative provision, which constitutes a cause of nullity provided for in article 118 of this body of law.
