Informe jurídico de la Resolución No. 791-2019-SUNARP-TR- A

Abstract

El presente informe jurídico se basa en el análisis a lo establecido por el Tribunal Registral a través de la Resolución No. 791-2019-SUNARP-TR-A. El caso expuesto nos relata sobre el fallo del Tribunal Registral al confirmar la tacha realizada por el Registrador Público del Registro de Personas Jurídicas sobre una solicitud de inscripción de un acto de revocatoria y nombramiento de un gerente general por parte de una sociedad anónima cerrada. El motivo por el cual el acto que se solicitó para inscribir fue tachado por el Registrador Público se originó a raíz de que la convocatoria de Junta General de Accionistas de la Sociedad Anónima Cerrada fue realizada por el accionista mayoritario, y no por el Gerente General o por el Directorio, así como también la celebración de la Junta General de Accionistas de la Sociedad Anónima Cerrada fue realizada en un domicilio distinto al establecido en el Estatuto; por lo cual, el presente informe jurídico abordará sobre la probabilidad de inscribir el acto solicitado por la Sociedad Anónima Cerrada. Para realizar ello, será necesario analizar no solo el criterio establecido por el Tribunal Registral, sino exponer sobre algunos vacíos de la normativa peruana con respecto al tema de sociedades, por lo que se deben verificar distintos principios, derechos, conceptos, doctrina, jurisprudencia, entre otros aspectos que serán de mucha utilidad para cumplir con la finalidad establecida

This legal report is based about an analysis of the findings by the Registry Court about the Resolution No. 791-2019-SUNARP-TR-A. The present case tells us about the final decision of the Registry Court to confirmed the objection made by the Public Registrar of Registry of Legal Entities on a request for registration of an act of revocation and appointment of a general manager by a closed corporation. The reason that the requested act of registration was rejected by the Public Registrar was because the in question was carried out because the Call of General Meeting of Shareholders of the Closed Corporation was made by the majority shareholder was made by the majority shareholder, and not by the General Manager or the Borad of Directors, and the celebration of the General Meeting of Shareholders was held at a different address than that established in the Bylaw of the Close Corporation.Therefore, this legal report will discuss about the probability of registering the act requested by the Close Corporation. To do so, it will be neccesary to analyze noy only the criteion established by the Registry Court, but also to discuss some misatakes in Peruvian regulations regarding companies, for which reason any principles, rights, concepts, doctrine, jurisprudence, among other aspects must be verifies which will be very useful in achieving the established purpose.
