Abstract
El presente artículo analiza el mercado de valores en Perú, con un enfoque en
el papel de la Superintendencia del Mercado de Valores (SMV) como entidad
reguladora de los fideicomisos de titulización. Este tipo de fideicomisos permite
a las empresas movilizar activos y obtener financiamiento, mientras ofrece a los
inversionistas oportunidades de retorno. La SMV, en su rol de policía
administrativa, supervisa especialmente los fideicomisos de oferta pública,
imponiendo normas de transparencia y reportes para proteger a los
inversionistas, que a menudo carecen de la capacidad para evaluar riesgos
complejos. Los fideicomisos de oferta privada, por otro lado, están dirigidos a
inversionistas institucionales y están sujetos a menos requisitos de información,
aunque la SMV mantiene la facultad de solicitar información si se considera
necesario para evaluar la gestión de las sociedades fiduciarias.
El documento destaca los beneficios de los fideicomisos en términos de
diversificación de riesgos y acceso al capital, pero también reconoce desafíos,
como la limitada liquidez y transparencia en fideicomisos privados. La normativa
vigente establece salvaguardas para proteger a los inversionistas, pero se
sugiere una regulación más flexible y la implementación de herramientas
adicionales, como una mayor transparencia en los fideicomisos de oferta privada
y la creación de mecanismos para facilitar su liquidez.
This academic Article analyzes the Peruvian securities market, focusing on the role of the Superintendence of Securities Market (SMV) as a regulatory entity overseeing securitization trusts. This type of trust enables companies to mobilize assets and obtain financing while offering investors opportunities for returns. In its administrative oversight role, the SMV primarily supervises public offer trusts, imposing transparency and reporting standards to protect investors who often lack the capacity to assess complex risks. Private offer trusts, on the other hand, target institutional investors and are subject to fewer disclosure requirements, although the SMV retains the authority to request information when necessary to evaluate the management of fiduciary entities. The document highlights the benefits of trusts in terms of risk diversification and capital access but also acknowledges challenges such as limited liquidity and transparency in private trusts. Existing regulations establish safeguards to protect investors; however, the document suggests a more flexible regulatory approach and additional tools, including increased transparency for private offer trusts and the creation of mechanisms to facilitate their liquidity.
