Resumen
El presente informe analiza la posibilidad de utilizar criptomonedas, como
aportes al capital social en la constitución de sociedades en el Perú, a partir de
la Resolución N.º 4920-2024-SUNARP emitida por el Tribunal Registral. Esta
resolución reconoce por primera vez la viabilidad de utilizar criptoactivos como
bienes muebles no registrados. Para ello se va a analizar el criterio establecido
por el Tribunal en la resolución, centrándose en dos aspectos fundamentales: la
transferencia efectiva del bien y su valorización al momento del aporte. Se
propone que, dada la naturaleza volátil y no regulada de las criptomonedas, debe
exigirse que los informes de valorización sean realizados por especialistas con.
Asimismo, se plantea que solo deberían aceptarse aportes en criptomonedas
cuando exista una utilidad funcional vinculada al objeto social de la sociedad. A
través de una propuesta normativa complementaria, se busca mejorar la
seguridad jurídica en la aceptación de criptoactivos como parte del capital social.
Finalmente, se incluye una comparación con la reciente regulación argentina,
que establece requisitos específicos y más estrictos para admitir estos aportes.
En conjunto, se reflexiona sobre los desafíos jurídicos que plantea la
incorporación de criptoactivos en el derecho peruano, subrayando la necesidad
de modernizar el marco normativo para equilibrar innovación y protección legal.
This report analyzes the possibility of using cryptocurrencies as contributions to the capital in the incorporation of companies in Peru, based on the Resolution No. 4920-2024-SUNARP issued by the Registry Tribunal. This resolution recognizes, for the first time, the viability of using cryptocurrencies as unregistered movable goods. To this end, the criteria established by the Tribunal in the resolution will be examined, focusing on two fundamental aspects: the effective transfer of the asset and its valuation at the time of the contribution. It is proposed that, given the volatile and unregulated nature of cryptocurrencies, valuation reports should be prepared by qualified specialists. Furthermore, it is suggested that contributions in cryptocurrencies should only be accepted when there is a functional utility linked to the corporate purpose of the company. Through a complementary regulatory proposal, the report seeks to strengthen legal certainty in the acceptance of cryptocurrencies as part of share capital. Finally, it includes a comparison with recent Argentine regulation, which establishes more specific and stricter requirements for admitting such contributions. Overall, the report reflects on the legal challenges posed by the incorporation of cryptocurrencies into Peruvian law, emphasizing the need to modernize the regulatory framework to balance innovation and legal protection.
