Resumen
La presente investigación se enfoca en analizar la constitución de la sociedad en
el ordenamiento peruano a partir de tres ejes complementarios. En primer
término, se exponen las teorías contractualistas e institucionalistas que buscan
explicar el fenómenos de la constitución de la sociedad y se explica cómo ello es
recogido en la normativa peruana. En segundo lugar, se examina la fase pre
constitutiva, detallando el régimen aplicable a la sociedad en formación y los
efectos de la irregularidad —de origen y sobrevenida—, con énfasis en la
responsabilidad personal, solidaria e ilimitada de quienes actúan sin una persona
jurídica válida. Finalmente, se identifican las formalidades constitutivas previstas
en la Ley General de Sociedades y su complementariedad con el Código Civil,
con el fin de determinar el momento exacto en que la inscripción confiere
personalidad jurídica y oponibilidad erga omnes.
This research focuses on analyzing the constitution of the company in the Peruvian legal system from three complementary axes. Firstly, the contractualist and institutionalist theories that seek to explain the phenomena of the incorporation of the company are presented and it is explained how this is reflected in Peruvian law. Secondly, the pre-incorporation phase is examined, detailing the regime applicable to the company in formation and the effects of irregularity - of origin and supervening - with emphasis on the personal, joint and several and unlimited liability of those who act without a valid legal entity. Finally, the constitutive formalities provided for in the General Companies Act and its complementarity with the Civil Code are identified, in order to determine the exact moment at which registration confers legal personality and erga omnes enforceability.
