La empresa educativa: su tratamiento normativo en el Perú
Abstract
Para comprender la magnitud de la empresa educativa en nuestro país, es indispensable hacer
un estudio sobre el derecho a la educación, a la libertad de empresa y de asociación, que en este
trabajo abordamos y con lo que se ha podido dimensionar la necesidad del servicio educativo, las
formas de prestación y la oferta existente. Asimismo, se ha determinado que la interpretación de
la legislación actual, exige a las instituciones educativas de gestión privada adoptar una forma de
organización, como las reguladas por el Código Civil, entre las que tenemos a la asociación,
fundación y/o comités -descartándose esta última- o por las previstas en la Ley General de
Sociedades, tales como las sociedades anónimas, en comandita, de responsabilidad limitada; optar
por una E.I.R.L., la reciente sociedad anónima cerrada simplificada; y, hasta elegir actuar como
empresa unipersonal (llámese persona natural con negocio). No obstante, la Ley General de
Educación ha contemplado -en su artículo 72°- la asignación de personalidad jurídica a las
instituciones educativas; es decir, mediante ley se ha concedido este estatus; sin embargo, existe
discrepancias con la interpretación que realiza el INDECOPI que ha negado este reconocimiento.
A partir de ello es que, comparando casos de asignación de personalidad a nivel internacional, se
puede ofrecer una interpretación de lo prescrito por el artículo 72° antes citado y proponer una
línea de interpretación acorde con los preceptos constitucionales, en la cual no se requiere de una
modificación en el Código Civil para la asignación de personalidad jurídica.
