Sobre ello, el Tribunal ha incurrido en una serie de errores e imprecisiones al momento de formular su pronunciamiento, lo cual será materia del Informe Jurídico a elaborarse en el presente Informe Jurídico.The Registral Tribunal issued a precedent stating that the authority to convene a general shareholders’ meeting—an authority vested in the board of directors—cannot be delegated to the General Management in a corporation. However, it also clarified that if the General Manager simultaneously serves as a director, delegation of said authority is indeed feasible.
